Our Code of Conduct stands as a testament to this commitment, emphasizing the importance of ethical conduct, integrity, and accountability in all our endeavours.  It guides our actions and underscores our dedication to maintaining trust, fostering collaboration and upholding professionalism.  By adhering to these principles, we ensure that every interaction, decision, and initiative aligns with our mission to safeguard and empower our customers and business partners in an increasingly complex cybersecurity landscape.  We hold our Business Partners to the same high standards, expecting them to uphold these principles as well.

Help AG’s Business Partner Code of Conduct, referred to herein as the “Code”, sets forth fundamental standards of ethical and responsible conduct that all Business Partners must uphold. These standards are aligned with Help AG’s core values, emphasizing respect for human rights, transparency and integrity in all business relations. 

All Business Partners providing products or services to Help AG or any affiliated entity will need to acknowledge this Code, as well as adhere to applicable laws and regulations in their respective operating countries. Business Partners are accountable for ensuring that the Code and relevant laws are upheld throughout their own supply chains.

Business Partners bear the responsibility of ensuring that their employees, agents, and subcontractors understand and acknowledge the Code while working with Help AG.  Failure to adhere to these standards may result in jeopardizing business relationships.  Business Partners are required to promptly notify Help AG upon discovering or suspecting any violations of the Code. 

Disclaimer:

  1. For the purpose of this Code, “Business Partner” includes but is not limited to: vendors, suppliers, distributors, service providers, contractors, sub-contractors, landlords, consolidators, agents and all other third parties with whom Help AG conducts business with. 
  2. For the purpose of this Code, “Help AG Group” includes but is not limited to Help AG and all its affiliates, subsidiaries, parent companies, and any other entities directly or indirectly controlled by or under common control with Help AG.
  3. This Code applies to various suppliers and service providers of Help AG worldwide. It is designed inclusively and aligns with global standards of conduct. If any terms herein are not applicable due to local laws in your territory or your personal beliefs, this Code is not intended to offend you or impact your business practices.  By accepting this, Business Partners understand that Help AG Group assumes no direct or indirect responsibility for any misunderstandings or consequences arising from the interpretation of this Code or any other situation, whether direct or indirect.  If any provision of this Code is found invalid, illegal or unenforceable pursuant to applicable laws, the remaining provisions continue to be in full force. 

Code Principles

1. Health and Safety

At Help AG, we expect our Business Partners to prioritize health and safety as we do. It is expected that our Business Partners provide a safe and healthy working environment for their employees while safeguarding the safety and well-being of our customers, partners, and the communities where we operate. We require all employees and third parties working for or on behalf of the Business Partner to strictly comply with health and safety rules and regulations. If any dangerous or unsafe practices are observed that pose a risk to health and safety, the Business Partner must intervene immediately to mitigate these risks.

It is recommended that the Business Partner report in a timely manner any incidents, hazards, near misses, or any violations of health and safety standards, as it is crucial for learning and prevention. It is understood that it is the collective responsibility of Help AG and its Business Partners to ensure that any violations of health and safety standards that could endanger others are reported immediately.

2. Environment and Sustainability 

Business Partners are expected to integrate environmental considerations into their daily operations and continuously strive for improvement by minimizing adverse environmental impacts. Adherence to applicable national and international legislation and standards is expected, and where environmental laws are insufficient or inadequately enforced, they are expected to implement responsible practices to manage environmental impacts.  Business Partners shall manage their environmental impacts, and will commit to environmental protection, aiming to reduce the use of finite resources such as energy, water, and raw materials, and to minimize harmful emissions including waste, air emissions, and discharges into water bodies.  

3. Human Rights

Business Partners adherence to human rights standards should align with Help AG’s commitment to ethical business practices. It is essential that all Business Partners respect and uphold internationally proclaimed human rights, including those outlined in the International Bill of Human Rights and the United Nations Guiding Principles on Business and Human Rights, throughout their operations.

4. Child Labor 

Business Partners should not be complicit in any human rights abuses and must not be involved in the exploitation of children, child labour, forced or prison labour, or human trafficking.

5. Forced Labor, Harsh or Inhumane Treatment 

Business Partners fair and respectful treatment for all workers in their supply chains, complying fully with the laws, rules, and regulations of the countries in which they operate should be the standard practice.

6. Diversity, Equality, and Inclusion

Business Partners alignment with Help AG’s belief that diversity and equality is essential for any organization.
It is expected that Business Partners treat all individuals with whom they interact, including employees, customers, and stakeholders, with dignity, courtesy, and respect,  and uphold the right of every individual to work in a safe environment that is free from discrimination, bullying, and harassment, and promote working environments where everyone can thrive and achieve their full potential.  With this, Business Partners contribute to creating workplaces that are fair, respectful, and supportive of diversity and inclusion. 

7. Equal Opportunities in Employment 

It is expected that Business Partners will adhere to Help AG’s commitment to fairness and meritocracy in all interactions with colleagues, candidates, customers, and partners. Such practice includes but not limited to the non-display of any discrimination in any form, whether direct or indirect, based on age, race, colour, sex, religion, national origin, social origin, disability, or any other characteristic.

Additionally, no unlawful discrimination in any aspect of employment, including recruitment, promotion, training opportunities, and compensation, and that all employees receive fair compensation based on minimum wage standards mandated by applicable laws and regulations.  Their employment decisions should not consider disabilities or personal commitments unless directly relevant to job requirements.

Business Partners are encouraged to enhance employee awareness of these values and principles to effectively implement our Code of Conduct in practice.

8. Bullying and Harassment

Business Partners are expected to respect cultural differences and ensure workplaces uphold everyone’s right to feel safe, welcome, and comfortable. This includes empowering individuals to address concerns about behaviour not in line with these standards. 

Business Partners expected to prohibit bullying, harassment, and victimization, treating such conduct as grounds for disciplinary action, and shall be committed to maintain a workplace free from such behaviours, ensuring the well-being and dignity of all individuals.

9. Sexual Harassment

Business Partners expected to ensure that their workplaces are free from any form of sexual harassment, defined as unwelcome conduct of a sexual nature that causes offense, humiliation, or intimidation to the recipient, regardless of intent. This includes situations where employment conditions are influenced by sexual demands or where someone faces adverse treatment for rejecting or accepting sexual advances.

10. Prohibited Items and Substances

Business Partners compliance with Help AG’s policy on substance abuse, which includes zero tolerance for the use or possession of illegal substances.  

Business partner employees must acknowledge that working under the influence of alcohol or drugs, as this jeopardizes the safety, integrity, and effectiveness of the work environment is prohibited.  The Business Partner will prohibit the presence of weapons on any of its premises, in accordance with applicable laws.

These measures ensure a safe and productive work environment for all individuals, and Business Partners are expected to comply with these policies to maintain the standards of safety and professionalism.

11. Intellectual Property

Business Partners must recognize the value of Help AG’s brand as one of the region’s most recognized and valuable assets and take proactive measures to safeguard it.

Business Partners must promptly report any suspected misuse of our brand assets, including counterfeit goods or unauthorized usage.

The Business Partner must acknowledge that Help AG’s intellectual property (such as trademarks, copyrights, know-how, patents, trade secrets, research, technical data etc.) and confidential information that belongs to Help AG and/or third parties is a valuable asset which in many instances sets us apart from our competition.

Business Partners acknowledge that all trademarks, copyrighted content, brands, logos, and other intellectual property rights is critical to Help AG. Therefore, Business Partners use of such trademarks, brands, logos, or proprietary materials of Help AG should be in compliance with Help AG Intellectual Property Policy and any prior written authorization should be obtained from Help AG’s Head of Marketing.

12. Confidential Information

Business Partners are expected to maintain the integrity of confidential information received through their commercial relationship with Help AG. Confidential information should never be disclosed, even after the termination of the business relationship with Help AG, to any media, social media platform, or any individual within or outside Help AG, except for authorized purposes or to individuals who require access for contractual purposes or as mandated by legal authorities or local regulations.

“Confidential Information” includes, but is not limited to, Help AG’s financial and commercial relationships, trade secrets, purchasing activities, proposals, strategies, pricing, product designs, IT solutions, personnel data, organizational structures, and any other non-public information related to Help AG (including its officers and directors) or its business operations.

Business Partners must respect the Confidentiality of Help AG’s employees, consumers, customers, and other third-party partners. They should take appropriate measures to protect and secure both official and personal information (documents and electronically stored data) provided in the course of their business relationship with Help AG. Business Partners are also required to implement reasonable measures to safeguard any digital Confidential Information related to Help AG against potential cyber threats and attacks.

In addition to adhering to applicable local data protection laws in their operating jurisdictions, Business Partners are expected to cooperate with and comply with any requests or directives issued by Help AG concerning security standards and data protection principles as implemented by Help AG.  Business Partners must promptly report any loss or misplacement of confidential information to Help AG to mitigate potential risks.

If Business Partner incurs any cybersecurity incident or data leak that has or could potentially expose Help AG’s confidential or non-confidential data, or that of its customers, they must immediately notify Help AG using Help AG’s email address (compliance@helpag.com). The notice should include details of the incident and its potential impact.

13. Complying with Legal and Regulatory Rules and Standards

Help AG is committed to adhering to all laws, rules, and regulations governing its business operations in every country where it operates. Business Partners are expected to uphold similar standards of compliance.

All provisions of this Code must be observed in accordance with applicable local laws. Business Partners are expected to operate in full compliance with the laws of their respective countries. If a Business Partner believes that any standard outlined in this Code may conflict with applicable local laws, they are required to promptly notify Help AG in writing.

14. Anti-Money Laundering

Business Partners are expected not to engage with any involvement or support of money laundering activities or any other unethical practices. Business Partners are expected to comply with all applicable anti-money laundering laws and regulations and must have policies and guidelines in place to ensure their employees can identify and report potential money laundering activities.

15. Bribery and Corruption

Help AG is committed to preventing bribery and corruption in all its work functions and relations. Clear guidance is provided to its employees and third parties on identifying and addressing issues related to bribery and corruption, as Help AG has a zero-tolerance policy on bribery and corruption. This applies to all Help AG’s business and transactions in all countries in which it operates.

Likewise, Business Partner may not offer, pay or accept bribes or improper payments in the course of doing business, and not engage or allow others to do so on its behalf. Under no circumstances should any financial or non-financial advantage be offered, paid, sought, accepted, promised, or authorized directly or indirectly to influence business outcomes improperly, encourage improper conduct, induce counterparties to act or refrain from acting, or influence commercial, contractual, regulatory, or personal decisions.

16. Gifts, Entertainment and Hospitality

Business Partners should not provide any gift, meal, or entertainment to Help AG employees that could influence, or create the appearance of influencing, the decision-making process regarding Help AG’s business with the Business Partner.

Help AG representatives are strictly prohibited from accepting gifts or hospitality if it could influence or appear to influence business decisions.

17. Conflicts of Interest

Business Partners declaration of any conflict of interest that arises in their business dealings with Help AG once they become aware of such conflicts is required. This disclosure allows Help AG to take appropriate action. If a conflict arises after the acknowledgment of this Code, it must be reported to Help AG via the channels specified in the “Reporting Non-Compliance” section stated herein within 5 working days of its occurrence.

Prior to entering any business relationship with Help AG, any ownership or beneficial interest in the Business Partner’s business by a government official, representative of a political party, Help AG employee, or a family member of a Help AG employee must be disclosed. Alternatively, if such conflicts are discovered after the relationship has commenced, they must be disclosed immediately.

18. Import, Export, Trade Compliance Rules

Business Partners must ensure thorough knowledge and adherence to relevant import, export, and trade laws that govern global trade involving Help AG’s goods, services, and technical information. It is imperative to understand and comply with regulations and restrictions concerning transactions with specific countries, entities, and individuals, as mandated by national and international trade sanction laws applicable to Help AG’s operations and procurement activities.

19. Data Privacy and Protection

Business Partners shall uphold the privacy of all individuals with whom Help AG conducts business, including employees, customers, and other stakeholders. This is in conformity with all applicable data protection regulations governing the collection, processing, storage, and management of personal data. Such data includes that of Business Partners’ own employees, as well as employees belonging to their customers, suppliers, and other business associates.

Business Partners shall only share information on social media which is already published on Help AG’s social media channels, or publicly available or formally approved by Help AG for this purpose.

20. Business Continuity

Business Partners are expected to maintain robust business continuity plans to ensure the uninterrupted
delivery of goods and services to Help AG. These plans should include risk assessment, disaster recovery, and crisis management strategies to minimize the impact of potential disruptions. Business Partners are expected to regularly review and update their continuity plans, provide necessary employee training, and implement measures to safeguard operations, and this is in line with Help AG’s ISO 22301 for Business Continuity.

In the event that Business Partners experience a disruption impacting the services provided to Help AG, they must immediately notify Help AG at compliance@helpag.com, detailing the impact on our services, the steps being taken to restore normal operations, and measures to mitigate any adverse effects on our business activities.

If Help AG experiences a disruption that may impact Business Partners, Help AG will communicate through unaffected channels as deemed appropriate and provide necessary instructions, which Business Partners are expected to follow.

Code Implementation

Compliance to the Code

The Business Partner must read, understand and acknowledge the content of Help AG’s Code of Conduct and its policies and procedures. It is the Business Partner’s responsibility to ensure that all its employees, officers, stakeholders, related subsidiaries, subcontractors, and those involved in Help AG’s supply chain are aware of Help AG’s Code of Conduct and adhere to its requirements.

The Business Partner is expected to share Help AG’s Speak Up channels with its employee to enable reporting violations as needed.

Business Partner of Help AG is required to acknowledge this Code, confirming their understanding with its provisions. Business Partners collaboration with Help AG to develop a corrective action plan in the event of violations or conflicts of interest, ensuring timely resolution of identified issues is critical.

Transparency and Integrity

The Business Partner is expected to conduct their activities with integrity and transparency, maintaining accurate accounting records to ensure accountability and prevent corruption, bribery, extortion, or any other practice whether legal or illegal that may jeopardise or harm Help AG’s Group business, reputation or relationships with other Business Partners.

The Business Partner shall assist Help AG and/or any third parties in monitoring compliance with the Code of Conduct.

Keeping accurate books and records as well as declaring taxes and duties is part of running a lawful and transparent business in a sustainable way.

Reporting Non-Compliance

The Business Partner is expected to immediately report any compliance violation or violation of this Code through the Help AG Compliance email address (compliance@helpag.com) or anonymously through Help AG’s whistleblowing channels announced in section “Speak Up – Whistleblower Channels”.
